AGT Member Original Painting Sales License

1. Agreement and Summary

This License Agreement ("Agreement") is between Steel Cow Lavender Farm, LLC, which operates the Art Garden Therapy brand ("AGT," "we," "us") and the AGT member who accepts it ("Member," "you").

All AGT designs are owned by Valerie Miller, who has authorized AGT to grant this license.

It gives you permission to sell original paintings you paint by hand from AGT lessons, as long as you are an active yearly AGT member, have paid the license fee, and follow the rules below.

In plain words:

• You may sell the actual paintings you paint by hand from AGT lessons, as many as you like.
• You may not sell prints, cards, digital files, or copies of any kind.
• You may not teach AGT designs, license them to anyone else, or use them with AI.
• To sell, you must be an active yearly member and pay the license fee. The permission ends if either one lapses.
• The designs belong to Valerie Miller; the paint on your canvas is yours to sell.

2. Who Can Use This License

This license is available only to members who have an active, paid-up yearly AGT membership and have paid the license fee.

2.1 Yearly membership and license fee required. You may sell paintings under this Agreement only while you have paid for the current year's AGT yearly membership and license fee. Monthly and six-month members are not covered.

2.2 Gift memberships excluded. Gift memberships do not qualify. You must hold a paid yearly membership in your own name.

2.3 Personal license. This license belongs to you alone. You may not transfer, share, sell, or assign it to anyone else, including family members, employees, or a business partner.

2.4 Your own hands. Every painting you sell must be painted by you personally. Paintings made by assistants, students, or anyone else are not covered.

2.5 Renewal. This license continues each time your yearly membership renews, as long as any license fee due is paid. While both stay current, you may keep selling year after year without signing again.

2.6 Price. The yearly membership and license fee are paid together as one yearly payment:

• Founding members: $397 per year
• All other members: $497 per year, or AGT's standard rate at the time they join or rejoin

2.7 Founding members. A founding member is anyone who accepts this Agreement and pays the founding rate on or before October 15, 2026, when the founding offer ends. After that date, the founding rate is no longer offered to anyone new.

2.8 Your rate is locked. Your yearly price will never go up as long as you renew with no lapse. Founding members keep $397 per year, and other members keep the rate they joined at, even if AGT charges new members more. If you cancel or let your membership lapse, your locked rate is lost for good. If you rejoin later, you pay AGT's standard rate at that time.

2.9 Lapse. A renewal payment not made within 14 days of your renewal date is a lapse. You may keep selling during those 14 days while a payment is being retried or updated.

2.10 Age. You must be at least 18 years old to accept this Agreement.

3. What You May Sell

You may sell original, one-of-a-kind paintings you paint by hand from AGT lessons.

3.1 Original paintings. An "Original Painting" is a single physical painting made by your own hand with paint on canvas, panel, paper, wood, or a similar surface, following or adapted from an AGT lesson.

3.2 Changes still count. A painting that changes the colors, size, or details of an AGT design is still covered by this Agreement and all of its rules.

3.3 Commissions. You may paint and sell a single Original Painting made to a buyer's request, such as a custom color scheme.

3.4 Photos for selling. You may photograph or film your Original Painting to show and sell that painting, for example in a listing or social media post. These photos may not be sold, offered as downloads, or used to make any product.

3.5 AGT lessons only. This Agreement covers the regular Art Garden Therapy lesson paintings only. It does not cover any of Valerie Miller's other artwork, including her animal paintings and any flower paintings that are not AGT lessons, or lessons, designs, or content from any other program, including Art Beach Club.

4. What You May Not Do

Only the hand-painted original may be sold; everything else is off limits.

4.1 No reproductions of any kind. You may not make, sell, or give away prints, giclées, canvas prints, posters, greeting cards, postcards, stickers, calendars, apparel, mugs, or any other product showing an AGT design or your painting of one.

4.2 No digital artwork. You may not sell or share digital files, digital paintings, downloads, NFTs, or printables of AGT designs or your paintings of them.

4.3 No print-on-demand. You may not upload images of your paintings to print-on-demand or print-selling services.

4.4 No teaching. You may not teach, demonstrate, or lead any class, paint party, workshop, video, tutorial, or step-by-step guide using an AGT design, whether paid or free, in person or online.

4.5 No selling the designs. You may not sell, share, or give away AGT lessons, designs, sketches, traceables, patterns, or instructions.

4.6 No licensing to others. You may not license, sublicense, or grant any rights in AGT designs or your paintings of them to any other person or company, including print companies, galleries, publishers, manufacturers, or licensing agencies. This includes rights to reproduce the image of any painting you sell.

4.7 No AI use. You may not use AGT designs or your paintings of them to train, prompt, or create artwork with AI tools.

4.8 No AGT images or reference photos. You may not use AGT's images, lesson videos, or the reference photos AGT provides to sell or promote your paintings. You may not post or share those reference photos anywhere. Show buyers photos of your own painting only.

4.9 No claiming the design. You may not claim an AGT design or composition as your own. You painted the painting; Valerie Miller created the design.

4.10 Shows and contests. You may not enter an AGT-design painting in any art fair, show, or contest that does not allow paintings made from lessons, kits, or classes. If asked whether a painting came from a lesson, you must answer truthfully.

5. Use of AGT's Name

You do not have to credit AGT, but you may not misuse AGT's name, logos, or identity.

5.1 Mentioning AGT is optional. You may say a painting was "painted from an Art Garden Therapy lesson," but you are not required to.

5.2 Your signature. You may sign the front of the painting with your own name. Do not sign it with AGT's name or the name of the AGT instructor.

5.3 No endorsement. You may not say or suggest that AGT made, approved, or endorses your painting or your business, or that you work for or represent AGT.

5.4 No AGT logos. You may not use AGT's logo or branding, other than the plain-text mention in 5.1.

5.5 No impersonation. You may not pretend to be, or present yourself as, AGT, Valerie Miller, or any AGT instructor in any form, including names, social media accounts, photos, signatures, or messages.

6. Hand-Painted Only

There is no limit on how many paintings of each AGT design you sell, as long as each one is painted by hand by you.

6.1 No production lines. You may not mass-produce paintings, print, stamp, or transfer the image onto the surface by machine, or hire others to paint for you.

7. Where You May Sell

You may sell Original Paintings directly to buyers, in person or online.

7.1 Allowed. Craft fairs, art shows, farmers markets, your own home studio or shop, consignment of the physical painting, your own website, social media, and handmade marketplaces such as Etsy, as long as only the physical original is sold.

7.2 Not allowed. Print-on-demand sites, wholesale orders, stock image sites, and any platform or deal that copies or reproduces the image.

7.3 Galleries and consignment. A gallery or shop may sell your physical painting for you, but you may not give it any right to reproduce or license the image.

8. Who Owns What

Valerie Miller owns the AGT designs; you own and may sell the physical paintings you make under this Agreement.

8.1 Copyright owner. All AGT lessons, designs, images, videos, reference photos, and instructions, and all copyrights in them, are owned by Valerie Miller personally. AGT uses and licenses them with her permission. This Agreement does not transfer any ownership or copyright to you.

8.2 Your painting. You own each physical Original Painting you make and may sell it as allowed here. Selling the painting transfers the physical object only, not any right to copy the design.

8.3 No registration. You may not register a copyright or trademark in any AGT design or in a painting of one.

8.4 Enforcement. As the copyright owner, Valerie Miller may enforce this Agreement directly, in addition to AGT.

9. When the License Ends

Your right to sell lasts through the end of the year you paid for, then ends if you don't renew.

9.1 Cancellation or non-renewal. If you cancel during your paid year, you may keep selling until the end of that paid year. Your license then ends on your renewal date, or at the end of the 14-day lapse period if a payment is pending. If your payment is refunded, the license ends the day of the refund. After the license ends, you may not list or sell any AGT-design painting.

9.2 Sales already made. Paintings sold and paid for while your license was active stay sold. You may finish and deliver any painting a buyer paid for before your license ended.

9.3 Remove listings. Within 7 days of the license ending, you must take down all listings and posts offering AGT-design paintings for sale.

9.4 Rejoining. If you rejoin as a yearly member later, you may accept this Agreement again, pay the license fee, and resume selling from your new start date.

9.5 Breaking the rules. If you break this Agreement, AGT may end your license right away by email. AGT may also end your membership and license without a refund of either and ask you to remove any items that break these rules.

9.6 Rules that survive. Sections 4, 5.3 to 5.5, 8, and 10 keep applying after the license ends.

9.7 Takedowns. AGT or Valerie Miller may report listings or posts that break this Agreement to Etsy, Facebook, Instagram, or any other platform and ask that they be removed.

10. General Terms

10.1 Your business is yours. You are responsible for your own sales, pricing, taxes, permits, and customer service. AGT is not a party to any sale you make.

10.2 No commission. Apart from your yearly membership and the license fee, AGT does not charge a fee or take a share of your sales.

10.3 Changes. AGT may update this Agreement by giving you at least 30 days' notice by email. Continuing to sell after that date means you accept the update. No update will raise your locked rate under Section 2.8.

10.4 Your sales, your responsibility. AGT and Valerie Miller are not responsible for anything between you and your buyers, including the quality, delivery, pricing, or condition of your paintings. You agree to cover AGT's and Valerie Miller's reasonable costs, including legal fees, from any claim by a buyer or anyone else about your paintings or sales, or from your breaking this Agreement.

10.5 Governing law. This Agreement is governed by the laws of the State of Iowa. Any dispute will be handled in the courts of Allamakee County, Iowa.

10.6 Whole agreement. This is the full agreement about selling paintings from AGT lessons. If any part is found unenforceable, the rest still applies.

10.7 No income guarantee. AGT makes no promise or guarantee that you will sell any paintings or earn any money. Your results depend on your own skill, effort, pricing, and market. Nothing AGT says or shows, including other members' sales, is an income or earnings claim. The license fee pays for the right to sell, not for any sales.

10.8 All sales final; automatic renewal. All payments for the yearly membership and license fee are final, with no returns or refunds, unless AGT chooses to give one. Your membership and license renew automatically each year at your locked rate. You may cancel anytime before your renewal date to stop the next charge.

11. Acceptance

By signing below or checking the acceptance box online, you agree to every term in this Agreement. Electronic acceptance is just as binding as a handwritten signature.
